1. Who We Are

The website located at miamibusinessclub.com and all related digital properties, including any mobile-optimized versions of the site (collectively, the “Digital Properties”), are operated by Miami Business Club, a private networking organization based in Miami, Florida (“MBC,” “we,” “us,” or “our”).

These Terms and Conditions (together with any additional terms referenced herein, collectively the “Terms”) govern your access to and use of the Digital Properties and all content, features, and services made available through them. By accessing or using the Digital Properties, registering for membership, purchasing event tickets, or attending any MBC event, you acknowledge that you have read, understand, and agree to be bound by these Terms, which form a binding agreement between you and MBC. If you do not agree, you must not use the Digital Properties or our services.

The Digital Properties are not directed at children under the age of 18, and they are not permitted to use the Digital Properties. Our events require attendees to be at least 21 years of age.

2. Changes to the Terms

We may update these Terms from time to time as our organization, services, or legal requirements evolve. If we make changes, we will post the revised Terms on our website with an updated effective date. Your continued use of the Digital Properties or participation in MBC events after changes are posted constitutes your acceptance of the revised Terms. We recommend that you review these Terms periodically.

3. Account Registration

You may browse certain portions of our website without registering for an account. However, you may be required to register for an account or provide personal information to access certain features, including membership enrollment and event registration.

When creating an account, you agree that:

•       All information you provide is complete, accurate, and current.

•       Your account credentials are personal to you and must not be shared with or disclosed to any third party.

•       You are responsible for all activity that occurs under your account, including any purchases.

•       You may not transfer, sell, or assign access to your account to another individual.

•       Your username may not impersonate another person or be offensive, vulgar, or obscene.

You will immediately notify us at info@miamibusinessclub.com if you discover any unauthorized use of your account or any other security breach. We reserve the right to suspend, terminate, or deny the creation of any account at any time and in our sole discretion, without prior notice or liability.

4. Membership

Miami Business Club is a private networking organization curated for founders, executives, investors, operators, and professionals in the Miami area. We host invite-only events at select venues throughout Miami designed to foster meaningful business relationships and community.

Membership in MBC is subject to the following conditions:

•       Membership is open to entrepreneurs, operators, executives, and professionals who are at least 21 years of age.

•       MBC reserves the right to approve, deny, suspend, or revoke any membership at its sole discretion and without obligation to provide a reason.

•       Membership is personal and non-transferable. You may not share, sell, assign, or transfer your membership, event access, or any membership benefits to another individual without our prior written consent.

•       Members are expected to comply with all membership rules, codes of conduct, and guidelines communicated by MBC from time to time.

5. Membership Fees and Payments

Membership fees, event ticket prices, and any other applicable charges are communicated at the time of purchase or enrollment. All fees are quoted in U.S. dollars unless otherwise stated.

By submitting payment, you authorize MBC or its designated third-party payment processor to charge the applicable amount to your selected payment method. You are responsible for ensuring your payment information is accurate and current. Fees may be subject to change with reasonable notice to members.

6. Refund and Cancellation Policy

Membership fees are generally non-refundable unless otherwise stated at the time of purchase. Event ticket refunds are handled on a case-by-case basis and are subject to the cancellation policy communicated at the time of purchase.

MBC reserves the right to cancel, reschedule, or modify any event at any time. In the event of a cancellation initiated by MBC, affected ticket holders will be offered a credit toward a future event or a refund, at MBC’s sole discretion.

7. Events and Conduct

MBC events are private gatherings. Attendance may require a valid membership, an invitation, or a purchased ticket. All attendees are expected to conduct themselves professionally and respectfully at all times.

MBC reserves the right to remove any attendee from an event and to suspend or revoke membership for conduct that is, in MBC’s sole judgment:

•       Disruptive, harassing, discriminatory, threatening, or abusive.

•       Inconsistent with the values and professional standards of the MBC community.

•       In violation of venue policies, including dress codes, age requirements, or other house rules.

•       Unlawful or otherwise objectionable.

Attendees are responsible for complying with all applicable venue rules and local laws. MBC is not responsible for enforcing third-party venue policies.

8. Content and Intellectual Property

All content on or accessible through the Digital Properties, including without limitation text, data, logos, graphics, photographs, images, videos, music, software, and other audio/visual materials (collectively, “Content”), is owned by MBC or licensed to MBC by third parties and is protected by applicable intellectual property laws.

The names “Miami Business Club,” “MBC,” and associated logos and branding displayed on the Digital Properties are trademarks belonging to MBC (“Trade Marks”).

You may not, without our prior written permission:

•       Reproduce, republish, post, transmit, edit, adapt, syndicate, or distribute any Content.

•       Link to, extract data from, or reutilize any part of the Digital Properties or Content for any commercial purpose.

•       Use our Trade Marks in a way that suggests endorsement by or affiliation with MBC.

•       Use the Digital Properties, Content, or any related data (including associated metadata) for any machine learning, artificial intelligence training, text mining, data mining, or similar purposes.

No act of downloading, copying from, or otherwise using the Digital Properties, even with our permission, shall transfer any title, interest, or right in any Content to you. MBC expressly reserves all rights not expressly granted herein.

9. Photography and Media Release

By attending MBC events, you acknowledge and agree that photographs, videos, and other media may be captured at events by MBC, its representatives, or other attendees. You grant MBC a non-exclusive, royalty-free, perpetual, worldwide license to use, reproduce, modify, and publish such media for promotional, marketing, and editorial purposes across any medium, including without limitation social media, the website, email communications, and print materials.

If you do not wish to appear in event media, you must notify an MBC representative at the event or contact us in writing at info@miamibusinessclub.com prior to the event. MBC will use commercially reasonable efforts to honor such requests but cannot guarantee that you will not appear incidentally in event documentation.

10. Use and Acceptable Conduct

You must only use the Digital Properties for lawful purposes and in accordance with these Terms. You are granted a limited, non-exclusive, non-transferable, and revocable right to access and use the Digital Properties solely for your personal and non-commercial use.

You agree that you will not:

•       Use the Digital Properties for any commercial use or for the benefit of any third party without our prior written consent.

•       Copy, reproduce, duplicate, archive, download, publish, modify, reverse engineer, or distribute any Content, except as expressly permitted by these Terms.

•       Remove, alter, bypass, or circumvent any copyright, trademark, or other proprietary notices or digital rights management mechanisms.

•       Use any automated tools, software robots, spiders, scrapers, crawlers, or similar data-gathering methods to access, acquire, copy, or monitor any portion of the Digital Properties.

•       Use the Digital Properties or Content for any machine learning or artificial intelligence purposes, including training or development of AI models.

•       Use the Digital Properties in any way that may lead to criminal activity or that is fraudulent, defamatory, threatening, harassing, or otherwise objectionable.

•       Submit any content that is unlawful, infringing, obscene, or that contains the personal information of a third party without authorization.

•       Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

•       Knowingly impose an unreasonable burden on the Digital Properties or their servers and infrastructure.

Any unauthorized use of the Digital Properties will immediately terminate the limited rights granted to you under these Terms, without prejudice to any other right or remedy available to MBC under applicable law.

11. Third-Party Links and Services

The Digital Properties may contain links to third-party websites, platforms, or services, including but not limited to event registration platforms (such as Luma), payment processors, and social media channels. These links are provided for your convenience only.

MBC does not control, endorse, or assume responsibility for the content, privacy practices, or terms of any third-party service. Your use of third-party services is governed by their respective terms and policies.

YOU ACKNOWLEDGE THAT, TO THE MAXIMUM EXTENT PERMITTED BY LAW, MBC SHALL NOT BE LIABLE FOR ANY LOSS OR DAMAGE ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO, USE OF, OR RELIANCE ON ANY THIRD-PARTY WEBSITES OR SERVICES, OR ANY PURCHASE YOU MAKE THROUGH THEM.

12. Infringement Claims

Under the Digital Millennium Copyright Act of 1998 (“DMCA”), if you believe in good faith that any Content on the Digital Properties infringes your copyright, you may send us a written notice requesting that the content be removed. The notice must include:

•       Your (or your agent’s) physical or electronic signature.

•       Identification of the copyrighted work claimed to have been infringed.

•       Identification of the allegedly infringing content and information sufficient to allow us to locate it on the Digital Properties.

•       Your name, address, telephone number, and email address.

•       A statement that you have a good faith belief that the use of the content is not authorized by the copyright owner, its agent, or the law.

•       A statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.

Notices should be sent to info@miamibusinessclub.com. There can be penalties for false claims under the DMCA.

13. Disclaimer of Warranties

YOU ACKNOWLEDGE AND AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOUR USE OF THE DIGITAL PROPERTIES IS AT YOUR SOLE RISK. THE DIGITAL PROPERTIES AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR AVAILABILITY.

MBC does not warrant that the Digital Properties will be uninterrupted, error-free, secure, or free from viruses or other harmful components. You are responsible for configuring your own devices and software to access the Digital Properties safely.

Access to the Digital Properties may be interrupted or suspended without notice for maintenance, system issues, or other reasons beyond our reasonable control.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MBC, ITS ORGANIZERS, OFFICERS, MEMBERS, AGENTS, AFFILIATES, AND SERVICE PROVIDERS (COLLECTIVELY, “MBC PARTIES”) SHALL NOT BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF USE, LOST DATA, LOST BUSINESS, LOST PROFITS, PERSONAL INJURY, OR PROPERTY DAMAGE, ARISING OUT OF OR IN CONNECTION WITH THE DIGITAL PROPERTIES, YOUR ATTENDANCE AT EVENTS, YOUR PARTICIPATION IN ANY MBC ACTIVITIES, OR THESE TERMS.

Nothing in these Terms shall exclude or limit liability for fraud, death, or personal injury resulting from negligence, or any other liability that cannot be excluded or limited under applicable law.

YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY PROBLEMS OR DISSATISFACTION WITH THE DIGITAL PROPERTIES OR MBC SERVICES IS TO CEASE USING THEM AND, WHERE APPLICABLE, TO CANCEL YOUR MEMBERSHIP.

15. Indemnification

You agree to defend, indemnify, and hold harmless MBC and the MBC Parties from and against any claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with:

•       Your access to and use of the Digital Properties.

•       Your violation of these Terms or any applicable law, rule, or regulation.

•       Your conduct at MBC events.

•       Your infringement or violation of any intellectual property or other rights of any third party.

•       Any activity occurring through your account, whether authorized or unauthorized.

We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate with our defense of such claims. You may not settle any claim without our prior written consent.

16. Your Personal Information

We will collect and use the personal information you provide to us in accordance with our Privacy Policy, which is available on our website and forms part of these Terms. By using the Digital Properties, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy.

17. Termination

You may terminate these Terms at any time by ceasing to access and use the Digital Properties and canceling your membership, if applicable. If you subsequently resume use of the Digital Properties, you will again be bound by the then-current Terms.

We may terminate or suspend your access to the Digital Properties and your membership, in whole or in part, at any time and without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination, any provision which by its nature is intended to survive shall survive, including without limitation Sections 8, 13, 14, 15, and 20.

18. Severability and Waiver

If any provision of these Terms is found by a court or other authority of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.

No waiver of any provision of these Terms shall be effective unless made in writing by MBC. A waiver of any provision on one occasion shall not be construed as a waiver of that provision on any subsequent occasion.

19. Force Majeure

MBC shall not be responsible or liable for any failure or delay in performing its obligations where such failure or delay results from events beyond our reasonable control, including but not limited to natural disasters, severe weather, fire, pandemic, epidemic, government actions, terrorism, civil unrest, utility or infrastructure failures, or IT system disruptions.

20. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

Arbitration Agreement. By using the Digital Properties or participating in MBC events, you and MBC agree to submit any and all disputes, claims, or controversies arising out of or relating to these Terms, your membership, or your relationship with MBC (each, a “Dispute”) to final and binding arbitration, rather than in court, administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect. The arbitration shall be conducted before a single arbitrator, and the seat of arbitration shall be Miami-Dade County, Florida. The Federal Arbitration Act shall govern the interpretation and enforcement of this arbitration provision.

Class Action Waiver. YOU AND MBC EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You agree that you will not be a class representative, class member, or otherwise participate in a class, representative, or consolidated proceeding against MBC.

Exceptions. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction located in Miami-Dade County, Florida to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

If the Class Action Waiver or any portion thereof is found to be invalid, illegal, or unenforceable, then the arbitration agreement shall be deemed unenforceable and the Dispute shall be decided by a court of competent jurisdiction in Miami-Dade County, Florida.

21. Assignment

We may transfer or assign our rights and obligations under these Terms to another organization. In the event of such a transfer, we will ensure that it does not adversely affect your rights under these Terms. You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent.

22. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms referenced herein, constitute the entire agreement between you and MBC with respect to your use of the Digital Properties and supersede all prior agreements, representations, and understandings.
